Terms of Service

1. Acceptance of Terms

By creating an account or otherwise using the Pelarys platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"), the Privacy Policy, and the Investment Research Disclaimer, each incorporated by reference. If you do not agree, do not create an account or use the Platform.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using the Platform, you represent that you meet this requirement.

3. United States Launch

The Platform is currently offered to customers located in the United States only. We do not currently support, and make no representation regarding suitability for, use outside the United States.

4. Description of the Platform

The Platform provides investment research and analytics tools, including company research pages, quantitative research analytics and classifications, SEC filing summaries and company developments, Pelarys Intelligence change detection with source-linked evidence, watchlists for organizing companies you follow, and your own research notes and investment theses.

The Platform is a research-organization and research-monitoring tool. It does not provide brokerage, trading, custody, or portfolio-management services (Section 6).

5. Investment Research Only / No Personalized Advice

The Platform does not evaluate whether any security, investment strategy, or transaction is suitable or appropriate for you based on your financial situation, objectives, risk tolerance, investment horizon, portfolio, or any other personal circumstance. The Platform does not collect this information from you and has no basis on which to make such an evaluation.

Nothing on the Platform -- including any score, classification, research summary, Pelarys Intelligence item, or other output -- is an individualized instruction or recommendation to buy, sell, hold, or otherwise transact in any security. You are solely responsible for interpreting the information the Platform presents and for making your own independent investment decisions.

6. No Brokerage, Trading, Custody, or Advisory Relationship

Pelarys is not a brokerage, trading platform, investment adviser, broker-dealer, portfolio manager, or fiduciary. The Platform does not execute, place, route, or facilitate any securities transaction; does not hold or have access to customer funds or securities; does not connect to any brokerage account you may hold elsewhere; and does not provide portfolio management or order-execution services. No fiduciary relationship is created by your use of the Platform.

If you wish to act on information obtained through the Platform, you must do so through a brokerage or financial institution of your own choosing, entirely outside the Platform.

7. Research Outputs, Scores, and Analytics

Scores, classifications, quantitative measures, historical comparisons, and every other analytical output the Platform presents are research tools generated from defined methodologies applied to available public and licensed data. They are not suitability assessments, guarantees or predictions of future performance, personalized recommendations, or instructions to transact.

8. Investment Risk and Your Responsibility

Investing in securities involves risk, including possible loss of principal. Past performance, historical results, and quantitative measures do not guarantee future results. You are solely responsible for every investment decision you make and should independently verify any information you consider material, consulting a qualified financial, legal, tax, or other professional adviser where appropriate.

9. Information Accuracy, Completeness, and Timeliness

Information on the Platform is obtained from third-party providers, public filings, market-data sources, and other sources believed to be reliable; however, such information may be incomplete, delayed, inaccurate, unavailable, or subject to change without notice. We do not guarantee the accuracy, completeness, timeliness, or suitability of any information or analysis. The absence of a displayed item does not necessarily mean the underlying event does not exist -- source coverage varies by company and by data provider.

10. Historical and Backtested Information

Where the Platform presents historical, hypothetical, or backtested analytics, that information describes past or simulated conditions only, is never a current recommendation, and is not a guarantee or prediction of future results, which may differ materially.

11. Your Research Content

Research Notes and Investment Theses are your own customer-authored content, for your own organizational use. You author every part of an Investment Thesis; the Platform does not create, adopt, approve, validate, or score it, and does not determine what investment action you should take based on it.

12. Accounts and Account Security

You must create an account to access the Platform's features. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use of your account (Section 24).

13. Subscription, Billing, and the $29.99/month Plan

The Platform is offered as a single paid subscription plan at $29.99 per month (the "Plan"). Payment is processed by our payment processor, Stripe; we do not receive or store your full card number.

As of the date of these Terms, new subscriptions begin with a 30-day free trial: your payment method is collected at signup, $0 is charged at that time, and your card is automatically charged $29.99 for the first month at the end of the 30-day trial unless you cancel before the trial ends. Your subscription then renews automatically each month at $29.99 until cancelled.

You may cancel your subscription at any time through the Billing Portal available in your account settings. Cancellation prevents future renewal; it does not end your current paid (or trial) period early -- you retain access through the end of the period you have already paid for (or, if cancelled during the trial, through the end of the trial), unless applicable law requires otherwise, after which access ends.

Payments are generally non-refundable, except where required by applicable law. We do not offer a discretionary satisfaction guarantee or partial refunds for a partially used billing period.

14. Acceptable Use

You agree to use the Platform only for its intended research and analytics purposes and in compliance with these Terms and applicable law.

15. Prohibited Conduct

You agree not to: share your account credentials with another person; impersonate another person; attempt to access another customer's private account content; circumvent or interfere with any security feature of the Platform; introduce malware or attempt unauthorized access; use the Platform for any fraudulent or unlawful purpose; infringe any intellectual-property right of Pelarys or any third party (including third-party data providers, Section 17); or engage in automated scraping (Section 16) without our prior written consent.

16. Automated Access / Scraping

Except as expressly permitted by us in writing, you agree not to use any robot, spider, scraper, or other automated means to access or extract data from the Platform, or to systematically reproduce a substantial portion of the Platform's content or underlying data.

17. Intellectual Property and Third-Party Data

Pelarys LLC owns the Platform itself, including its software, interface, and design. You retain ownership of your own customer-authored content (Research Notes, Investment Theses, watchlists); you grant us only the rights reasonably necessary to host, store, and display that content to provide the Platform to you.

The Platform displays data obtained from third-party sources, including Massive, Financial Modeling Prep (FMP), and the U.S. Securities and Exchange Commission's EDGAR system. Certain data displayed may be subject to additional rights and restrictions of the applicable third-party provider, beyond the restrictions this Section otherwise imposes.

18. Service Availability and Changes

We may modify, suspend, or discontinue the Platform, or any feature of it, at any time. We do not currently commit to any specific uptime or service-level guarantee.

19. Suspension and Termination

We may suspend or terminate your access to the Platform for violation of these Terms or unlawful use. You may stop using the Platform, and cancel your subscription, at any time (Section 13).

20. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PELARYS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT/TRADING LOSSES, ARISING OUT OF YOUR USE OF THE PLATFORM OR ANY INVESTMENT DECISION MADE IN CONNECTION WITH INFORMATION OBTAINED THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED [LIABILITY CAP -- PENDING COUNSEL FINAL FORMULATION. The OWNER has explicitly deferred the exact amount/period to outside counsel; it is not invented here.]

22. Changes to These Terms

We may update these Terms from time to time; we will update the "Last Updated" date above when we do. Continued use of the Platform after an update constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

23. Governing Law and Venue

These Terms, and any dispute arising out of or relating to these Terms or the Platform, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Any such dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. These Terms do not require mandatory arbitration.
