What a screen missed, and what it costs
The acquisition itself was covered everywhere. The classification was not. Item 8.01 is the catch-all a company uses when no specific item fits, and no merger agreement was attached — so the terms are not public. Any monitoring built on acquisition item codes recorded nothing for one of the largest acquisitions the company has ever announced.
Three things arrived together and only one of them was reported: the terms are not public; a new risk factor naming parties “actively lobbying” against open-source models was introduced outside the annual 10-K cycle; and a commitment to support other silicon vendors exists in announcement language rather than in a filed agreement.
