Philip Morris is moving parts of its wellness unit into partnerships, and says the unit's goodwill could be impaired

In October 2026, Philip Morris International started a project to move operations for certain product lines of its wellness unit, Aspeya, to an asset-light model, primarily through joint ventures and other partnership arrangements. PMI says the change may lead it to revise the unit's financial projections, which could result in an impairment of goodwill. Goodwill attributed to the wellness reporting unit was $337 million at September 30, 2026. PMI has not yet estimated the project's total costs.

Why it matters

What a screen missed, and what it costs

The project is disclosed in the notes to the financial statements, not in PMI's third-quarter earnings release, which does not mention Aspeya. PMI's previous 10-Q, for the quarter ended June 30, 2026, said it continued to monitor the wellness reporting unit but described no restructuring and did not state the unit's goodwill.

Goodwill is an acquisition premium carried on the balance sheet, and PMI attributes $337 million of it to the wellness reporting unit. PMI ties a possible impairment directly to this project: moving product lines into partnerships may lead to revised projections for the unit, which could result in an impairment. PMI has not said how large any charge or restructuring cost would be.

What Pelarys remembered

The pattern behind it

Aspeya has carried losses before. PMI reports $556 million of accumulated goodwill impairment losses relating to Aspeya, and in the third quarter of 2025 it recorded a $146 million after-tax impairment of an equity method investment within the wellness business. Its 2026 annual goodwill review, completed in the second quarter, found no impairment.
